Their thesis, in full

Roynat Capital is a mid-market private debt and mezzanine lender, and a growth-equity investor, that is a wholly owned subsidiary of Scotiabank, not an early-stage startup VC. It provides senior term loans (asset-secured and cash-flow), subordinated and mezzanine debt, and minority equity to established, revenue-generating Canadian companies, typically for growth and expansion, acquisitions and consolidation, management or leveraged buyouts, succession and ownership transition, and shareholder liquidity. Founders should approach Roynat only if they run a cash-flowing business that can service debt, not a pre-revenue startup pitching for seed or Series A equity. Its specialized Technology & Innovation Banking unit does extend venture debt to venture-backed or bootstrapped tech companies, but even there the product is debt, not a primary equity round. The right fit is an owner-operator who wants flexible, patient, relationship-driven capital, including the deeper Scotiabank banking relationship, to fund growth, an acquisition, a buyout or a partial cash-out.

What they bring past the cheque

  • Full capital spectrum under one roof, from senior term debt through subordinated and mezzanine debt to equity
  • Scotiabank ownership giving access to a full suite of banking, wealth and treasury services
  • Over 60 years of mid-market lending history and a deep relationship-banking model
  • Flexible, patient, highly customized structures rather than off-the-shelf terms
  • National footprint with regional teams across Western Canada, Ontario, Quebec and Atlantic, plus a dedicated venture-debt practice

Questions they usually ask

Have an answer ready for each one before the first call.

  1. Is your business established and generating recurring revenue and positive (or near-positive) cash flow that can service debt, rather than pre-revenue?
  2. What is the specific use of capital (growth, acquisition, management or leveraged buyout, succession, refinancing or shareholder liquidity), and how much do you need?
  3. Do you want debt or mezzanine financing that limits dilution (and possibly an ongoing Scotiabank banking relationship), as opposed to selling a primary equity round?

Follow-on

Roynat positions itself on relationship banking: its regional managers take time to understand the business and the owner's goals before structuring capital, and stay involved across the life of the financing. For equity deals, Roynat Equity Partners provides patient capital plus advice and contact networks, working closely with management on growth, acquisitions and operational milestones. Backed by Scotiabank, it can layer in broader banking, wealth and succession-planning support around the core financing.
